Mr Soo Lup Soon was called to the Singapore Bar in 2012. He specialises in the area of venture capital and works very closely with venture capital funds and start-ups. Lup Soon assists in areas of private equity, venture capital and joint venture transactions for both public and private sectors. His involvement includes drafting of term sheets, subscription & investment agreements, shareholders' agreements and ancillary documents. He has amassed wide experience in debt financing such as corporate loans, convertible bonds and notes.

The incubation of start-ups, including incorporation, corporate secretarial services and funding are all part of Lup Soon's portfolio. He is familiar with the drafting of ancillary documents to the above i.e. consultancy, services, employment and technology licensing and transfer agreements & contracts, terms of use and privacy statements for websites. He also handles general corporate and commercial matters.

In his 4 years, Lup Soon has acted for various Statutory Boards and Ministries in corporate, conveyancing and procurement matters. He was involved in the redrafting of the Technology Incubation Scheme (“TIS”) template agreements for the National Research Foundation Holdings Pte. Ltd. (“NRFH”) in 2012 and also acted for NRFH in their investments in TIS investee companies and Global Entrepreneur Executive (“GEE”) scheme investee companies. Further, he had advised on various schemes and applications for grants from government agencies and statutory boards (assisting either the private and public sector as the case may be).

¬†Together with the corporate team, Lup Soon has co-authored the ‘Legal Guide for Startups and Fundraising in Singapore’, a publication of Central Chambers Law Corporation.
